The authorization period is mutually agreed upon and explicitly stated in the agreement. It typically consists of a fixed initial term (e.g., 1–3 years).

To ensure a stable and long-term partnership, the agreement recommends the following renewal arrangements:
(1)Right of First Renewal : The partner has the right to renew the agreement before the authorization period expires.
(2)Renewal Notice Period: The brand shall issue a renewal notice to the partner at least 60–90 days before the expiration of the authorization period.
(3)Negotiation Period: The partner must confirm whether to renew within 30 days of receiving the notice. If no objection is raised, renewal is deemed accepted. -
(1)Legally registered and licensed in the authorized territory.
(2)Strong market sensitivity and operational capability.
(3)Alignment with TOZO’s brand philosophy. -
TOZO will assess and discuss performance with parter on regular basis. Catch-up plan need to agree and execute if target is missed. Failure on catch-up agreement or plan executiont may lead to suspension or termination of authorization; exceeding targets is qualify for rewards.

Products can be sold in offline channels and approved online marketplaces within the authorized territory (excluding Amazon and Newegg).

(1)First violation: USD 10,000 fine
(2)Failure to remove listings within 3 days: USD 30,000 fine
(3)Severe violation: suspension of supply or termination -
The supply price is based on the latest TOZO quotation. Adjustments require 7 days’ prior written notice.

(1)30% deposit before production, 70% balance before shipment.
(2)Currency: USD. -
Our product is covered by a 15‑month warranty commencing on the shipment date, and we also offer flexible extension of this period to fully comply with your local statutory requirements.

Distributors handle local after-sales service. Confirmed defects are compensated, and return shipping costs are covered if applicable.

Yes. Distributors are expected to submit quarterly report. These reports include:
(1)Sales Datas: Detailed sales figures, including volume, revenue, and growth trends.
(2)Inventory report: Current stock quantities, turnover rates, and any related issues. -
Distributors may clear inventory within 90 days in the authorized territory.

(2)Serious breach or force majeure
(3)Failure to meet agreed sales or performance targets for two consecutive quarters without catch-up plan agreement with TOZO. -
All disputes are submitted to the Hong Kong International Arbitration Center, governed by Hong Kong law .

TOZO trademarks can be used during the authorization period for marketing, with proper attribution.
